Fundraiser Agreement

1. About This Agreement

This Agreement is between the group named in your application (“Group”) and Tammy Dennis, an individual doing business as [Cold Streets Clothing Company] (“Cold Streets,” “we,” “us,” or “our”).

It covers Pass the Love Fundraisers and listing on the Fundraisers Board. It includes our Terms of Service, Privacy Policy, Giving and Transparency Policy , Affiliate Agreement , Community Guidelines, and Youth Safety Policy.

You accept this Agreement on the Group’s behalf by checking the agreement box or submitting the sign-up form.

2. Who May Take Part

Eligible Groups

Eligible Groups include schools, school clubs and parent groups, youth sports teams, youth organizations, and other groups or causes that support young people and are legitimate and in good standing.

We may approve or decline any Group.

Adult Representative

You must be at least 18 years old and authorized in writing by the Group, and by the school or district if required, to act for it and receive funds on its behalf.

Only an adult may sign this Agreement, register in the Affiliate Program, communicate with us, receive payments, or manage the Group’s promotion. Minors may not do any of these things.

Proof

We may ask for proof of your Group and your authority, such as a nonprofit determination letter, a school authorization letter, or identification.

We may decline or remove a Group that cannot provide requested proof. You promise that everything in your application is true and complete.

3. Youth Protection

  • An adult must supervise everything a minor does in connection with the Group’s fundraising.
  • Do not post or send us personal information about minors, including full names, photos, school, location, or contact details, unless a parent or guardian has given written consent on our Parental Consent and Media Release Form . Use first names or initials whenever possible.
  • Minors may not go door to door, handle cash, meet buyers, or contact strangers. Children under 13 may not be asked to post on social media.
  • Do not pressure, shame, or single out children or families to buy or sell.
  • Follow all school, district, and Group rules for fundraising, and get any approval they require. You are responsible for this.
  • If you believe a child is at risk, contact local emergency services or authorities right away. You may also tell us at partnerships@coldstreets.com .
  • We may remove any Content or Group immediately if we believe a child’s safety or privacy is at risk.

4. Qualifying for the Fundraisers Board

Request

A Group may request a spot on the Fundraisers Board for its state or country once it has at least $8,888 in qualifying sales.

Qualifying sales are completed, paid, and not refunded sales of Cold Streets products and services credited to the Group through its referral link [confirm].

We determine totals from our records and our affiliate platform.

Approval

Reaching the threshold does not guarantee a spot. We review each Group under our Community Guidelines and Youth Safety Policy.

Listing

We may display the Group’s name, logo, short description, photo, without minors unless consent has been given, and referral link on the Group’s state or country page.

5. Keeping Your Spot

To keep its spot, a Group must reach $2,400 in qualifying sales in each 12-month period [starting on the date the Group is placed on the Board] .

The total may come from one large sale or many sales at any time during the period, including the final day.

We do not require or send warnings during the year. You may request your Group’s current total at any time by emailing partnerships@coldstreets.com .

If the total is not reached by the end of the period, we may remove the listing.

[A removed Group may request a spot again after meeting the $8,888 threshold again.]

6. How the Group Earns

Commission

The Group earns the 8% Affiliate commission on qualifying sales through its referral link, paid under the Affiliate Agreement.

This includes the payment date, the $88 minimum, the 30-day waiting period, and reversal of refunded sales.

Where this Agreement and the Affiliate Agreement conflict, this Agreement controls for Fundraisers.

Payee

We pay the Group’s adult representative as payee for the Group [or the Group itself, if it has its own account in its name] .

You are responsible for delivering the funds to the Group. Once we pay, we are not responsible for how the funds are held or used.

Tax Forms

Before payment, you must complete the tax form requested through the secure Tax1099.com link, as described in the Affiliate Agreement.

Never send tax information to us by any other method.

[Delete if not used: Buyer’s Cause Choice. If the Group is listed as an eligible cause in ShoppingGives, a buyer may choose it at checkout, and the amount is handled as described in our Giving and Transparency Policy and ShoppingGives’ rules.]

No Guarantee

We do not promise any amount of money, sales, or Board placement. Free Pass the Love Cards do not generate money.

7. Rules for Your Fundraising

  • Be honest: Do not say that 100% of a purchase goes to the Group. Describe the Program as it is described on our Site.
  • Do not tell buyers that a purchase is a tax-deductible donation to the Group or to Cold Streets. Buyers are purchasing from Cold Streets.
  • Use the funds for the purpose stated in your application, with no personal benefit. The Group and Representative are responsible for managing, reporting, and paying taxes on the funds.
  • You are responsible for any permits, registrations, or approvals your fundraising requires, including school and district approval and any charitable solicitation rules.
  • Follow the promotion rules in the Affiliate Agreement, including disclosing that you earn a commission, no spam, no coupon or discount posting, no income promises, and keeping everything youth-friendly.
  • Do not collect buyers’ personal information through your referral link. We do not share buyer information with Groups.

8. Content and Pass the Love Cards

Content you give us, such as logos, photos, and descriptions, is covered by the license in Section 12 of our Terms of Service.

You promise that you have permission to use the Content, including parental consent for any child shown.

A free Pass the Love Card may be displayed in support of a fundraiser as described in the Pass the Love Card Terms .

9. Refunds, Fraud, and Reversals

Commissions on refunded, charged-back, or fraudulent sales are reversed, and we may deduct amounts already paid from future payments.

Orders placed to reach or keep the Board thresholds, including orders by the Adult Representative or paid for with the Group’s own funds, do not count toward those thresholds.

10. Removal and Ending

We may remove a Group or listing at any time if we reasonably believe this Agreement, the Youth Safety Policy, or the Community Guidelines were violated, a child’s safety or privacy is at risk, information was false, or we receive serious complaints.

Either of us may end this Agreement at any time by notice.

Approved commissions are paid as stated in the Affiliate Agreement, except where the Group violated this Agreement.

11. Independent Relationship; No Endorsement

The Group and you are independent of Cold Streets and are not our employees, agents, or partners.

Listing a Group does not mean we endorse or verify it. We are not responsible for the Group’s fundraising, programs, statements, or use of funds.

12. Disclaimers and Limits

The Fundraisers Program is provided “as is” and “as available.” To the fullest extent permitted by law, we are not liable for lost funds, lost sales, or any indirect, incidental, special, or consequential damages.

Our total liability under this Agreement will not exceed the commissions we owed the Group in the [12] months before the claim.

These limits do not apply to fraud or willful misconduct, or where the law does not allow them.

13. Indemnification

You and the Group agree to defend and hold harmless Cold Streets, Tammy Dennis, and our contractors, agents, and service providers from any claim, loss, or expense, including reasonable attorneys’ fees, arising from the Group’s fundraising, Content, use of funds, or breach of this Agreement or the law.

14. Changes

We may update this Agreement, the Board thresholds, and the Fundraisers Program by posting a new “Last Updated” date and [emailing you].

Changes apply going forward.

15. Other Terms

This Agreement, together with the documents it references, is the entire agreement about Pass the Love Fundraisers.

California law governs, as described in Section 22 of our Terms of Service.

If any part is unenforceable, the rest stays in effect.
