Affiliate Agreement and 8/8/8 Program Terms

1. About This Agreement
This Agreement is between you (“Affiliate” or “you”) and Tammy Dennis, an individual doing business as [Cold Streets Clothing Company] (“Cold Streets,” “we,” “us,” or “our”).
It covers the Cold Streets Affiliate Program, which is part of the 8/8/8 Program. It includes our Terms of Service, Privacy Policy, Giving and Transparency Policy , and Community-Friendly Advertising Standards .
You accept this Agreement by checking the agreement box or registering for the Program.
2. Who May Join
You must be at least 18 years old to join as an Affiliate. Minors may not be Affiliates and may not receive payments directly.
Schools, Groups, and youth causes take part in fundraising only through an approved Adult Representative, as described in the Fundraiser Agreement.
We may approve or decline any application, and may remove any Affiliate at any time as described below.
3. How the Program Works
After you are approved, you receive a unique referral link through our affiliate platform, BixGrow.
When someone buys after clicking your link, and the sale qualifies under this Agreement, you earn a commission.
4. Commission
You earn 8% of the qualifying sale. This applies to sales of products, Advertising, Sponsorships, and paid Pass the Love Cards, unless we tell you otherwise in writing.
Commission is calculated on the same basis described in our Giving and Transparency Policy: [the item or service price after discounts, before shipping, taxes, and payment processing fees] , and does not include refunded amounts.
Your commission is a sales commission, not a charitable gift.
5. Cookie Window and Credit
Referrals are tracked with a cookie that lasts 88 days. [If more than one Affiliate link was used, the most recent link within the 88 days receives credit.]
Tracking depends on the buyer’s browser and settings, so we cannot guarantee that every referral will be recorded. Our affiliate platform records are final for calculating commissions.
6. Qualifying Sales
A sale qualifies only if it is completed, paid, not refunded, not fraudulent, and not placed by you or someone acting for you.
You may not earn commission on your own purchases, purchases by your household or business, or orders made to create commission.
7. Payments
- Payment method: PayPal. You must provide a valid PayPal account, and you are responsible for any fees or currency charges from PayPal or your bank.
- Payment date: We pay approved commissions on the 8th of each month.
- Minimum: Your approved balance must be at least $88 to be paid. Smaller balances carry over to the next month.
- Waiting period: Commissions become approved after the 30-day exchange period for the order has ended, so refunded orders are not paid.
- Refunds: If an order is refunded, the commission on the refunded amount is reversed. If we already paid it, we may deduct it from future payments.
- Correct information: Payment depends on your tax form and payment details being complete and accurate.
8. Taxes and Tax Forms
You are an independent contractor and are responsible for your own taxes.
Before payment, you must complete the tax form we request through the secure link from Tax1099.com : Form W-9 if you are a U.S. person, or Form W-8BEN or W-8BEN-E if you are not.
We may hold payments until your form is complete, and may report payments to tax authorities or withhold taxes as the law requires.
Please never send tax forms, Social Security numbers, or other tax identification numbers to us by email, text, social media, or any other channel. We will only ask for them through the secure Tax1099.com link.
9. Your Relationship with Us
You are an independent contractor. You are not our employee, agent, partner, or joint venturer.
You may not make promises or sign agreements on our behalf. You decide how to promote Cold Streets within this Agreement.
10. How You May Promote
You may promote Cold Streets using your referral link on websites, social media, videos, email lists you own with permission, and in conversations, as long as you follow this Agreement and the law.
11. Rules for Promotion
- Disclose your relationship: Clearly tell people that you earn a commission in a way they will see before they click, as required by the FTC’s Endorsement Rules and similar laws. Use plain wording such as: “I earn a commission if you buy through my link.”
- Be honest: Do not make false or misleading claims about Cold Streets, our products, our Programs, or what giving amounts will be. Describe the 8/8/8 Program as it is described on our Site.
- Stay youth-friendly: Do not promote us alongside Content that is sexual, violent, hateful, harassing, or otherwise unsuitable for a youth-friendly community. Do not direct promotions to children under 13.
- Follow the law: Obey email, text-message, privacy, and advertising laws, including CAN-SPAM and rules on consent.
- No spam: Do not send unsolicited messages or post your link where it is not welcome.
- No brand impersonation: Do not claim to be Cold Streets. Do not use our name or logo in a domain name, account handle, or paid search ad, and do not bid on our brand name or trademarks in paid advertising.
- No coupon or discount posting: Do not post, create, or promote coupon or discount codes for Cold Streets unless we give you written permission.
- No income promises: Do not promise or imply any income or earnings for yourself or others. Results vary and are not guaranteed.
- No recruiting payments: Commission is earned only on qualifying sales, not for recruiting other Affiliates.
- Respect privacy: Do not collect personal information about buyers through your referral link.
12. Fraud and Violations
You may not use fake orders, self-referral, cookie stuffing, hidden redirects, bots, stolen payment methods, or any other deception.
If we reasonably believe you violated this Agreement, we may withhold or reverse commissions linked to the violation, suspend or remove you, and report fraud to the authorities or payment providers.
13. Sanctions and Eligibility
We may not be able to accept or pay Affiliates in some countries because of U.S. law or payment-provider limits.
We may decline or end your participation if required by law or our providers.
14. Brand Assets
We may give you logos, images, and text to use when promoting us. We give you a limited, non-exclusive, revocable license to use them only for promoting Cold Streets under this Agreement.
We may ask you to update or remove them. Cold Streets owns its names, logos, and Content, including “Cold Streets,” “Pass the Love,” “8/8/8,” “Biz Card Bonanza,” and “Biz Ads Worldwide.”
Using them does not give you any ownership.
15. Your Information
We and our affiliate platform collect and use your information as described in our Privacy Policy.
16. Changes to the Program
We may change or end the Affiliate Program, including commission rates, cookie length, payment rules, and this Agreement, by posting a new “Last Updated” date and [emailing you].
Changes apply to sales made after the change. Commissions already approved before a change remain payable, except as stated in Section 12.
17. Ending This Agreement
Either of us may end this Agreement at any time by notice.
If you leave or we end it without a violation, we will pay approved commissions due under Section 7.
If we end it because you violated Section 11 or 12, you may lose unpaid commissions linked to the violation.
18. Disclaimers and Limits
The Program is provided “as is” and “as available.” We do not guarantee any sales, commissions, or earnings, or that the Program or our affiliate platform will be uninterrupted or error-free.
To the fullest extent permitted by law, we are not liable for lost profits or any indirect, incidental, special, or consequential damages.
Our total liability under this Agreement will not exceed the commissions we owed you in the [12] months before the claim.
These limits do not apply to fraud or willful misconduct, or where the law does not allow them.
19. Indemnification
You agree to defend and hold harmless Cold Streets, Tammy Dennis, and our contractors, agents, and service providers from any claim, loss, or expense, including reasonable attorneys’ fees, arising from your promotion, your Content, or your breach of this Agreement or the law.
20. Other Terms
This Agreement, together with the documents it references, is the entire agreement about the Affiliate Program.
If there is a conflict, this Agreement controls for the Affiliate Program. California law governs, as described in Section 22 of our Terms of Service.
If any part is unenforceable, the rest stays in effect.
